Each RSU represents the contingent right to receive one common share of Li-Cycle Holdings Corp subject to time-vesting conditions in accordance with the underlying award and the reporting person's continued service through such vesting date. The reporting person is the Head of Recycling at Glencore plc (collectively with its subsidiaries, "Glencore") and holds the securities for the benefit of Glencore, and may, after vesting, if applicable, transfer the securities directly to Glencore.
