This Form 3 is being filed by the Reporting Person by virtue of the Reporting Person's assumption of the status as trustee over various trusts which collectively own more than 10% of the Issuer's outstanding common stock. Because the Reporting Person has voting and dispositive power over these trusts, the Reporting Person is subject to Section 16 reporting requirements. However, the Reporting Person does not have a pecuniary interest in any securities of the Issuer, and accordingly, does not beneficially own any securities of the Issuer (within the meaning of Section 16).
