F1	The stock options were granted on October 20, 2023 under the Sphere Entertainment Co. 2020 Employee Stock Plan, as amended (the "2020 Employee Stock Plan") and represent the option to purchase Class A Common Stock. If the 2020 Employee Stock Plan does not receive stockholder approval, the stock options will be settled in cash to the extent they vest and are otherwise exercisable.
F2	The stock options will cliff vest on October 20, 2026 if James L. Dolan has remained employed by, or provided services to, the Company or any of its subsidiaries through such date (subject to certain limited exceptions).
