F1 Common Units of Enfusion Ltd. LLC, and the corresponding shares of Class B common stock are exchangeable for shares of the Issuer's Class A common stock on a one-for-one basis with the Issuer having the ability to elect to pay cash in lieu of issuing Class A common stock.
F2 These shares of Class A common stock and Common Units are held by Malherbe Investments LLC. Stephen Malherbe is the sole manager of Malherbe Investments LLC, an estate planning vehicle. The Reporting Person may be deemed to have dispositive power over the Common Units held by Malherbe Investments LLC. Mr. Malherbe disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
