F1 Represents vesting of restricted stock units ("RSUs") granted in March 2021 that convert into common stock on a one-for-one basis as adjusted for a 1-for-20 reverse stock split.
F2 On March 3, 2021, the Reporting Person was granted 2,125 RSUs (as adjusted for a 1-for-20 reverse stock split). The RSUs were granted subject to forfeiture, which forfeiture restrictions will lapse as to one half of the award on the first and second anniversaries of the date of grant, subject to acceleration as set forth in the Reporting Person's employment agreement with the Registrant.
