The Purchase Agreement also provided Artal International S.C.A. the right to purchase from the Issuer, on a pro rata basis, up to an additional 3,622,832 shares of Issuer Common Stock at a price per share equal to the Purchase Price. On June 1, 2023, pursuant to the 2023 Purchase Agreement, Artal International S.C.A. exercised its right to purchase an additional 3,622,832 shares of Issuer Common Stock at a price per share equal to the Purchase Price.
