In connection with its role as executor of Samuel Zell's estate, the Reporting Person intends to enter into a trading plan in order to effect sales of up to approximately 6.1 million aggregate shares of common stock, $0.01 par value, of Equity Lifestyle Properties, Inc. ("ELS"). As such, while this Form 13F for Q4 2023 reports an aggregate 9.0 million shares of ELS, the Reporting Person expects that position to decrease during 2024. While the Reporting Person expects the sales under the trading plan to be completed by the end of 2024, any such sales would only be effected in accordance with the terms and conditions of the trading plan, including but not limited to specific price and other parameters.
