Check a portfolio change or an insider purchase

Start with the filing and its dates. These two checks help you decide what to investigate next. No account is needed to read the examples.

Did the manager add shares?

  1. Separate the holdings date from the filing date. A newly published 13F describes an earlier quarter.
  2. Compare the same CUSIP, share class and instrument. Check share counts and corporate actions: a higher dollar value alone does not establish a purchase.
  3. Open the original filing and check for amendments. 13F covers reportable securities; short positions are omitted and exact trade dates are not supplied.

Was the insider transaction a purchase?

  1. Read the transaction code. P covers purchases on an exchange or from another person; it does not by itself distinguish a market trade from a private purchase.
  2. Check the transaction date, class, quantity, price, direct or indirect ownership, and footnotes. Keep shares and ADS units consistent.
  3. Distinguish awards (A), exercises or conversions (M), and shares withheld for taxes or exercise costs (F). Filing activity alone is not a buy signal.
