Each restricted stock unit ("RSU") represents a contingent right to receive one share of HP common stock.

Footnote F2

As previously reported, on April 23, 2019, the Reporting Person was granted 7,965 RSUs, all of which vested on the grant date; however, the Reporting Person elected to defer the receipt of common stock until April 1, 2026. Dividend equivalent rights accrued with respect to these RSUs when and as dividends were paid on HP common stock. The number of derivative securities in column 5 includes 1,916 vested dividend equivalent rights.
