The Reporting Person was granted restricted stock units ("RSUs"), which each represent a contingent right to receive one share of ordinary stock of Valens Semiconductor Ltd. (the "Company"). The units vest in twelve equal quarterly installments commencing on 12/04/2025, subject to the Reporting Person's continued service to the Company or its subsidiaries through each vesting date.

Footnote F2

The Reporting Person was granted restricted stock units ("RSUs"), which each represent a contingent right to receive one share of ordinary stock of Valens Semiconductor Ltd. (the "Company"). The units vest in four Equal portions on a quarterly basis within 90 days, 180 days, 270 days of the first anniversary of the date of grant (01/15/2026), subject to the Reporting Person's continued service to the Company or its subsidiaries through each vesting date.
