YC 1926 (BVI) Limited has six shareholders, each holding an even percentage of shares of the entity. The shareholders agreed to vote in concert in the shareholder meetings; and during the period commencing on the date of incorporation and ending on the third anniversary of the date of listing of the Company on Nasdaq, if the shareholders are unable to reach a unanimous consent, a decision made by more than 50% of the voting rights of the parties will be deemed a decision unanimously passed by all parties and will be binding on all parties; in the event there is a tie-breaker, the shareholders of YC 1926 (BVI) Limited agreed to appoint Ming Hung "Matthew" Lai, the chairman of the entity, to serve as their proxy to exercise the voting rights on their behalf.
