Footnote F1

Vesting of performance-based stock unit (PSU). Each PSU represented the right to receive 0%-150% of the target number based on the Issuers total stockholder return, relative to the KBW Regional Banking Index (based on an initial grant of PSUs which was reported in the original Form 4 for this grant). PSUs vested at 93.61%.

Reflects shares withheld to pay toward tax liability.

Footnote F3

On December 2, 2025, the Reporting Person retired from the Issuer and Tri Counties Bank, the Issuers wholly owned subsidiary, collectively, the Company. As a result, on December 2, 2025, the Reporting Persons restricted stock units were forfeited.

80% of these stock awards will continue to vest in accordance with the terms of related award agreements between the Issuer and the Reporting Person.
