Represents a grant of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Class A Common Stock of The Beauty Health Company (the "Company"). The RSUs are subject to time-vesting conditions. The RSUs vest on the earlier of the one-year anniversary of the grant and the date of the 2026 Annual Meeting of Stockholders of the Company, contingent upon the reporting person's continued service as a member of the Company's board of directors through such time.
