Second Amended and Restated Long Term Incentive Plan or its predecessor plan were settled in common shares ("Common Shares") of DIRTT Environmental Solutions Ltd. (the "Issuer") on a one-for-one basis. The 182,144 DSUs granted pursuant to the Deferred Share Unit Plan for Non-Employee Directors were settled in cash equal to the closing price of one Common Share on August 28, 2025 for each DSU, as reported on the Toronto Stock Exchange.
