Footnote F1

The Company's Incentive Compensation Plan (as amended and restated as of January 1, 2020) permits the withholding of shares of common stock to satisfy tax withholding obligations of the participants. These shares were previously reported on March 19, 2024. Due to retirement and in accordance with the award terms, the vesting date was accelerated to July 31, 2025.
