On Sep. 23, 2024, the Reporting Person filed a Form 4 reporting an award 50,385 Equity Grant Units ("EGU"). Each EGU represents the right to receive a cash payment equivalent to the value of a share of the Issuer's common stock upon the satisfaction of certain conditions.

Footnote F2

Effective Mar. 5, 2025, the Reporting Person agreed to forfeit, waive and nullify any and all rights associated with EGUs; accordingly, the Issuer rescinded the award and the associated EGUs were cancelled.
