Each Restricted Stock Unit represents a contingent right to receive one share of Class A Common Stock.

Footnote F2

On December 20, 2024 (the "Grant Date") the reporting person was granted 2,022,060 RSUs pursuant to the Issuer's 2021 Omnibus Incentive Plan and an RSU award agreement (the "Award Agreement").

Footnote F3

Pursuant to the Award Agreement (i) 1,102,942 RSUs will be subject to time-based vesting in substantially equal annual installments over the four year period following the vesting commencement date, subject to continued employment through the applicable vesting date and (ii) 919,118 RSUs will be subject to time-based vesting, one-third of which RSUs will vest on the first anniversary of the applicable vesting commencement date, and the remaining RSUs will vest quarterly thereafter (such that such RSUs are fully vested on the three (3)-year anniversary of the applicable vesting commencement date), subject to continued employment through the applicable vesting date.
