Footnote F1
This Form 4 is filed jointly by Bristol Investment Fund, Ltd. ("Bristol Fund"), Bristol Capital Advisors, LLC ("Bristol Advisors") and Paul Kessler (collectively, the "Reporting Persons").
Footnote F2
As of September 19, 2023, the Reporting Persons ceased to be members of a Section 13(d) group that may be deemed to collectively beneficially own more than 10% of the Issuer's outstanding shares of Common Stock. Each of the Reporting Persons disclaims beneficial ownership of the securities reported herein except to the extent of his or its pecuniary interest therein.
Footnote F3
Securities beneficially owned directly by Bristol Fund. As the investment advisor of Bristol Fund, Bristol Advisors may be deemed to beneficially own the securities owned directly by Bristol Fund. As the manager and Chief Executive Officer of Bristol Advisors, Mr. Kessler may be deemed to beneficially own the securities owned directly by Bristol Fund.
