On July 1, 2024, pursuant to a private placement offering by the Issuer, the Reporting Person acquired warrants to purchase 138,000 shares of the Issuer's common stock, par value $0.001 per share (the "Common Stock") for an aggregate purchase price of $46,000. Each warrant entitles the holder thereof to purchase one share of Common Stock, is immediately exercisable from the date of issuance at an exercise price of $4.95 per share, and expires five years after issuance.
