In connection with a Loan and Security Agreement, dated as of June 28, 2024 (the "Loan Agreement"), by and among Inseego Corp. (the "Issuer"), South Ocean Funding LLC, and the other parties thereto, the Issuer issued to the reporting person, as a participating lender under the Loan Agreement, warrants to purchase 28,205 shares of Common Stock at an exercise price of $12.12 per share. The issuance of the warrants was approved by the Issuer's board of directors pursuant to Rule 16b-3 under the Securities Exchange Act of 1934, as amended.
