(now known as Six Flags Entertainment Corporation) ("HoldCo") and CopperSteel Merger Sub, LLC, the reported securities, which included 292,126 shares of Common Stock, 373,001 shares of restricted Common Stock and 2,421 Deferred Stock Units (which settled in shares of Common Stock in connection with closing, which shares were partially withheld to cover taxes) were each disposed of in exchange for .5800 shares of HoldCo common stock.
