On June 20, 2024, the Issuer and the Avon Road Partners, L.P. entered into a Warrant Exercise Agreement (the "Agreement") pursuant to which the exercise price of the warrants originally issued to the reporting person on January 18, 2023 (the "Warrants"), and subsequently transferred by the reporting person to Avon Road Partners, L.P. on June 18, 2024, was reduced from $2.00 to $1.40, with a concomitant reduction in the number of shares into which the Warrants are exercisable, from 1,000,000 to 700,000.
