Each restricted stock unit represents a contingent right to receive one share of Yext, Inc.'s common stock.

Footnote F2

Includes 25,996 vested but deferred restricted stock units, which were settled on June 12, 2024 upon the expiration of Mr. Battier's term as director and 20,588 shares of restricted stock which were to fully vest on June 13, 2024, subject to Mr. Battier's continued service to the Company on such date. Mr. Battier's term as a director of the Company had expired at the 2024 Annual Stockholder Meeting, and he did not stand for re-election. The Company has accelerated the vesting of his unvested shares of restricted stock as of immediately prior to the expiration of his term on June 12, 2024.
