Disposed of pursuant to a merger agreement between the Issuer and a subsidiary of W. P. Carey Inc. ("WPC"), based on an exchange ratio of 0.0978 shares of WPC common stock for each share of the Issuer's common stock owned for a total of 4,156 WPC shares having a market value of $87.46 per share on the effective date of the merger, plus $3.00 per share in cash, and cash in lieu of any fractional shares.
