Footnote F1

The original grant on 05/30/23 was for 3,000 restricted stock units. Subject to the reporting person's continued service as a director of the Issuer, the units vest and convert into shares of common stock (on a 1 for 1 basis) at a rate of 1/3 on the first anniversary of the grant date; 1/3 of the second anniversary of the grant date; and 1/3 on the third anniversary of the grant date.
