Each restricted share unit represents a contingent right to receive one common share of M/I Homes, Inc. (The "Company").

Footnote F2

The restricted share units were granted under the M/I Homes, Inc. 2018 Long-Term Incentive Plan, as amended, and vest on the earlier of (i) the date of the next annual meeting of shareholders of M/I Homes, Inc. (provided that such annual meeting of shareholders is at least 50 weeks after May 13, 2024) or (ii) May 13, 2025, subject to the reporting person continuing to serve as a director of M/I Homes, Inc. on such date. Vested restricted share units will be settled in common shares of M/I Homes, Inc. within 60 days following the reporting person's separation from service as a director.
