("Cummins") disposed of 67,054,726 shares of Issuer common stock pursuant to a registered exchange offer to holders of Cummins common stock, commenced February 12, 2024 (the "Exchange Offer"). The final exchange ratio was 12.0298 shares of Issuer common stock per share of Cummins common stock accepted in the Exchange Offer. As a result of the Exchange Offer, Cummins no longer owns any share of Issuer common stock.
