On May 23, 2023, with Mr. Rayman's consent, the Issuer's Board of Directors rescinded the unvested restricted stock unit grant made to him on January 31, 2023 as director compensation. Mr. Rayman is an employee of Apollo Global Management, Inc. or one of its affiliates ("Apollo").
