1. On June 14, 2022, Ziff Davis, Inc. ("Ziff Davis") completed a debt-for-equity exchange (the "Exchange"), pursuant to which Ziff Davis exchanged 2,000,000 shares of common stock of Consensus Cloud Solutions, Inc. ("Consensus") for the prepayment of $78,263,155 principal amount and $46,845 of accrued and unpaid interest through but not including June 14, 2022 of certain term loans that Ziff Davis borrowed from J.P. Morgan Securities LLC and Citicorp North America, Inc. under an amendment to its Credit Agreement, dated as of April 7, 2021, which reflected consideration of $39.155 per share of Consensus common stock. Immediately following the Exchange, Ziff Davis retained 1,960,607 shares of Consensus common stock.
