Option shares will vest and become exercisable in a series of twelve (12) successive equal monthly installments commencing on February 1, 2024, such that all Employee Stock Options in this grant will be vested and exercisable on January 1, 2025. This option grant was approved by the Board of the Company on January 1, 2024, subject to shareholder approval of the stock option plan under which the option was granted, and may not be exercised until such shareholder approval is received.
