Previously Mr. Doering held a 23.9% ownership stake in LS Assets, which directly owned ordinary shares in SharpLink Gaming Ltd. (the "Company"), which were distributed and issued to LS Assets LLC ("LS Assets") in connection with the Company's merger with SportsHub Games Network, Inc. in December 2022. Mr. Doering's 23.9% stake in LS Assets represented indirect ownership of 31,778 ordinary shares of the Company. In connection with the dissolution of LS Assets on September 29, 2023, LS Assets allocated the ordinary shares of the Company it owned to its members including Mr. Doering. As a result, Mr. Doering was allocated 4,388 ordinary shares of the Company.
