These restricted stock units ("RSUs") were granted pursuant to the Near Intelligence, Inc. 2023 Equity Incentive Plan (the "2023 Plan"). Each RSU represents a contingent right to receive one share of the issuer's common stock, par value $0.0001 per share ("Common Stock"). The RSUs shall vest in full, convert into shares of Common Stock and be delivered to the reporting person on March 1, 2024, provided that all unvested RSUs are subject to forfeiture upon termination of the reporting person's employment by the issuer for Cause (as defined in the 2023 Plan).
