This Form 3 was originally and incorrectly filed to disclose Eric Lazer as a 10% holder, specifically owning 902,600 shares of Common Stock through Roxy Capital Corporation ("Roxy"). Mr. Lazer is the Director of Roxy and has sole voting and investment control with respect to the shares held by Roxy. As such, Mr. Lazer may be deemed to beneficially own the shares held directly by Roxy. At this time, the 902,600 shares of Common Stock held by Roxy represent less than 10% of the Common Stock. This amended Form 3/A discloses that Mr. Lazer is not a 10% holder.
