Represents shares of Class A Common Stock withheld by the Issuer to satisfy the Reporting Person's tax withholding obligations in connection with the vesting of restricted stock units (including related dividend equivalent units), which vested on October 21, 2022.

Includes (i) 63,847 RSUs vesting as to 21,284 units on October 21, 2023 and as to 42,563 units on October 21, 2024, and (ii) 10,776 RSUs vesting in substantially equal 1/3 installments beginning on April 15, 2023.
