Footnote F1

Represents a grant of performance-based restricted stock units ("PSUs") with respect to shares of the Issuer's common stock. The PSUs are subject to achievement of stock performance- and time-based conditions. The stock performance-based condition will be deemed satisfied with respect to five tranches of PSUs ("Available PSUs") upon the Company's common stock reaching certain price targets, calculated on a 20-day volume weighted average price basis during the measurement period. The time-based condition will be deemed satisfied with respect to the Available PSUs if Ms. Sud remains continuously employed by the Company (i) through March 25, 2024, at which time two-thirds of Available PSUs will vest and (ii) through March 25, 2025, at which time the remaining Available PSUs will vest.
