Shares issued pursuant to performance-vested stock units (including 155 shares issued for related dividend equivalent units) that were granted to the reporting person on January 31, 2019 under the 2009 M&T Bank Corporation Equity Incentive Compensation Plan and were earned based on achievement against pre-established performance criteria for the three-year performance period ended December 31, 2021, as determined by the Company's Nomination, Compensation and Governance Committee on February 11, 2022.

The performance-vested stock units were granted under an equity incentive compensation plan maintained by M&T Bank Corporation, and therefore the reporting person paid no price for the performance-vested stock units.
