Footnote F1

On June 14, 2022, the reporting person exercised a warrant to purchase 61,111 shares of the Issuers common stock for $2.70 a share. The reporting person paid the exercise price on a cashless basis, resulting in the Issuer withholding of 51,562 of the warrant shares to pay the exercise price and issuing to the reporting person the remaining 9,549 shares.
