SilverBox Capital LLC is the managing member of SilverBox Engaged Sponsor LLC (the "Sponsor"), and Mr. Reece and Mr. Kadenacy are each a principal of SilverBox Capital LLC. As such, they may be deemed to have or share beneficial ownership of the Class A common stock held directly by the Sponsor. Represents the distribution of shares of Class A common stock of BRC Inc. for no consideration by the Sponsor to its members on a pro rata basis in accordance with their respective interests. As a result, the Sponsor and the other reporting persons are no longer a 10% Owner.
