As of the Effective Time (as defined in the Agreement and Plan of Merger by and among Realty Income Corporation ("Realty Income"), Rams MD Subsidiary I, Inc., Rams Acquisition Sub II, LLC, VEREIT, Inc. ("VEREIT") and VEREIT Operating Partnership, L.P., dated as of April 29, 2021, as amended or supplemented from time to time), deferred stock units awarded to the Reporting Person were converted into a Realty Income deferred stock unit award with respect to a number of whole shares of Realty Income common stock equal to the product obtained by multiplying the number of shares of VEREIT common stock subject to such VEREIT deferred stock unit award as of immediately prior to the Effective Time by 0.705.
