Footnote F1

There ordinary shares reported in Table I include up to 225,000 ordinary shares that are subject to forfeiture by 10XYZ Holdings LP (the "Sponsor") depending on the extent to which the underwriters of the initial public offering of the issuer's securities do not exercise their over-allotment option in full as described in the issuer's registration statement on Form S-1 (File No. 333-256271), as amended.

The Sponsor is the record holder of the ordinary shares reported herein. Mr. Dahe Zhang, Director and Chief Financial Officer of the issuer, is a managing member of 10XYZ Management LLC, the general partner of the Sponsor, and has voting and investment power over the securities held by the Sponsor, and may be deemed to have beneficial ownership of the ordinary shares of the issuer held of record by the Sponsor. However, Mr. Zhang disclaims beneficial ownership over any securities owned by the Sponsor in which he does not have any pecuniary interest.
