Footnote F1

On June 30, 2021, as further described in the Current Report on Form 8-K filed by Hospitality Investors Trust, Inc. (the "Company") on July 1, 2021, the joint prepackaged Chapter 11 plan of reorganization previously filed by the Company in the United States Bankruptcy Court for the District of Delaware (the "Plan") became effective.

Footnote F2

When the Plan became effective, pursuant to the terms thereof, each share of the Company's common stock outstanding immediately prior to the effectiveness of the Plan was cancelled and exchanged for a right to receive contingent cash payments pursuant to a contingent value rights agreement entered into as of the effectiveness of the Plan in the form attached as an exhibit to the Plan.
