Disposed of in connection with the Agreement and Plan of Merger by and among Macquarie Infrastructure Holdings, LLC (the "Company"), AMF Hawaii Holdings, LLC, AMF Hawaii Merger Sub, LLC and Macquarie Infrastructure Corporation, each Common Unit of the Company issued and outstanding was converted into the right to receive $4.11 in cash, without interest.
