This Form 4 is being filed in connection with the sale (the "Sale") of 34,176,574 shares of common stock, par value $0.01 per share of The Mosaic Company by the Reporting Persons.

(2) This filing constitutes a Form 4 exit filing for the Reporting Persons. (3) Prior to the date of the Sale, each of the Reporting Persons may have been deemed directors-by-deputization by virtue of their contractual right to appoint up to two directors to the board of directors of the Issuer (the "Appointment Right"). As a result of the Sale, the Appointment Right was terminated and the Reporting Persons are no longer subject to Section 16 of the Securities Exchange Act of 1934.
