Mrs. Dabah disclaims ownership of the securities held by, and beneficially owned by, Mr. Dabah, except to the extent of her pecuniary interest therein.

The Voting Group refers to members of a voting agreement with (and with respect to the reported securities owned by) Moshe Dabah, Eva Dabah, Joia Kazam, Chana Rapaport, Yaacov Dabah; Trust FBO Josh A. Kazam, whose trustee is Greg Kiernan; Gila Goodman; Isaac Dabah and his spouse; GMM Capital LLC; Sterling Macro Fund, and each of the trusts described footnote 4, below, for purposes of Section 13(d) of the Securities Exchange Act of 1934, each of which provided complete authority to Mr. Ezra Dabah, the Chief Executive Officer of the Issuer (and the spouse of Renee Dabah), to vote the shares held by such persons and entities at any and all meetings of stockholders of the Company and via any written consents.

The securities are held in the name of each applicable trust referenced, of which the Reporting Persons (Renee Dabah and Raine Silverstein) are co-trustees, and as such, each Reporting Person may be deemed to beneficially own the securities held by each applicable trust. Raine Silverstein is the mother-in-law of Ezra Dabah. The Reporting Persons disclaim ownership of the reported securities except to the extent of their own pecuniary interest therein.
