("CIT") into the Issuer, effective January 3, 2022 (the "Merger"), based on the Merger exchange ratio, in exchange for (i) 14,983.4750 shares of CIT common stock, and (ii) Restricted Stock Units previously representing the right to receive an aggregate of 20,760.4320 shares of CIT common stock, all of which were converted into shares of the Issuer's Class A common stock. On the effective date of the Merger, the closing price of CIT common stock was $53.50, and the closing price of the Issuer's Class A common stock was $859.76.
