Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of New Jersey Resources Corporation ("NJR") common stock plus dividend equivalents.

Footnote F2

Reporting person has elected to defer issuance of shares of this RSU award upon vesting pursuant to the NJR Directors' Deferred Compensation Plan. Vested shares and dividend equivalents will be paid out in four (4) annual installments beginning on the first day of the second month of the calendar quarter in which the reporting person ceases to be a Director.

The RSU award will vest in full on the earlier of (i) the first anniversary of the date of grant, or (ii) the date of the next NJR Annual Meeting of Shareowners.
