Class A Ordinary Shares granted annually to each non-employee director of Aon plc. In accordance with Irish law, reporting person agreed to pay the issuer the nominal value of US $0.01 per share issued to the reporting person.

Footnote F2

On March 11, 2022, 11,604 shares previously reported as indirectly owned via a grantor retained annuity trust ("GRAT") were transferred to direct holdings. On May 2, 2022, 25,809 shares that were previously held directly were transferred to a GRAT.
