The Options shall vest ratably and become exercisable in twenty (20) quarterly installments over a period of five (5) years, on quarterly anniversaries of October 1, 2026, provided that the first vesting date shall only occur after approval of an amendment to the Plan (being submitted at the 2027 Annual Meeting of Stockholders of the Company currently scheduled for January 14, 2027) adding shares eligible to be granted thereunder, and provided further that the Reporting Person remains in Continuous Service through and on such date or dates.
