The NQ Stock Options represent replacement options issued to the Reporting Person at the closing of the merger (the "Merger") of Autonomous Power Corporation, a Delaware corporation (the "Company"), with Aureus Merger Sub Inc., a Delaware corporation and direct wholly owned subsidiary of Aureus Greenway Holdings Inc. ("Parent"), pursuant to the Agreement and Plan of Merger, dated as of March 8, 2026, by and among Parent, Aureus Merger Sub Inc., the Company and Andrew Fox, solely in his capacity as the stockholder representative, in exchange for options to purchase shares of the Company's common stock held by the Reporting Person immediately prior to the effective time of the Merger. The replacement options became fully vested and exercisable upon the closing of the Merger.
