On September 9, 2026, Moutoulas Shipping Corporation ("Moutoulas") agreed to acquire from the Issuer, in a private placement, 1,500,000 shares of Common Stock, at a price of (euro) 6.70 per share (approximately equivalent to $7.81 per share, at an exchange reference rate of (euro)1 to $1.1652 as published by the European Central Bank for September 9, 2026), which acquisition settled on September 11, 2026.

Mr. Hajioannou disclaims any beneficial ownership of any of the equity securities of the Issuer reported on this Form 4 (the "Subject Securities"), except to the extent of any pecuniary interest therein.
